Terms and Conditions

These Terms and Conditions ("Terms") are between you and LogicVerse Solutions Pvt Ltd ("Company", "we", "us", or "our"), operating the SmartProHire platform. They govern access to and use of the SmartProHire websites, dashboards, APIs, and related services (collectively, the "Services"), including AI-powered assessments, interviews, skill intelligence, online examinations, proctoring, analytics, billing, and marketing pages such as smartprohire.com.

By creating an account, signing in, booking a demo, inviting candidates, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

These Terms should be read together with our Privacy Policy and Cookies Policy. They are a product-facing agreement, not legal advice. Enterprise customers may also be subject to a separate order form, master services agreement, or data processing agreement ("Customer Agreement"). If a Customer Agreement conflicts with these Terms, the Customer Agreement controls for that customer to the extent of the conflict.

1. Who we are

SmartProHire is a product of LogicVerse Solutions Pvt Ltd. LogicVerse Solutions Pvt Ltd ("Company", "we", "us", or "our") operates the SmartProHire AI-powered hiring and assessment platform. References to "SmartProHire" in these Terms mean the platform and brand operated by the Company. For questions about these Terms, contact smartprohire@gmail.com.

2. The Services

Depending on your plan and configuration, the Services may include:

• Creating, configuring, and delivering talent and technical assessments
• AI-assisted question generation, interviews, scoring, and hiring insights
• Candidate invitations, registration, and attempt management
• Secure online examinations and proctoring features
• Analytics, reports, Interview Pro, and related workspace tools
• Billing, plan management, team seats, and support

We may update, improve, or discontinue features over time. Material reductions to paid plan capabilities will be communicated through reasonable means where practicable.

3. Accounts and eligibility

• You must provide accurate registration information and keep credentials confidential.
• You are responsible for activity under your account and workspace, including actions by team members you invite.
• The Services are intended for organizations and adult professionals. You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to create an account.
• We may suspend or terminate access if we reasonably believe an account is compromised, misused, or created in violation of these Terms.

4. Customer content and candidate data

"Customer Content" means content you or your users upload, configure, or generate in the Services — including job roles, questions, branding, invite lists, candidate responses, scores, proctoring evidence, interview recordings or transcripts (where enabled), and reports.

• As between you and SmartProHire, you retain ownership of Customer Content. You grant us a limited license to host, process, transmit, and display Customer Content solely to provide, secure, support, and improve the Services as described in these Terms and the Privacy Policy.
• You are responsible for obtaining any notices, consents, or legal bases required to invite candidates and process their personal data for hiring, assessment, or examination purposes.
• Candidates typically interact with assessments under your instructions. Candidate-facing experiences on configured domains may present additional notices controlled by you or by the assessment portal configuration.
• You must not upload unlawful, infringing, or sensitive content unless you have a lawful basis and the Services support that use case.

5. Acceptable use

You agree not to:

• Use the Services for unlawful discrimination, harassment, fraud, or other illegal activity
• Attempt to bypass authentication, proctoring, scoring, plan limits, or security controls
• Reverse engineer, scrape, or overload the Services except as allowed by law
• Use the Services to build a competing product using non-public SmartProHire materials, models, or question banks beyond ordinary competitive hiring practices
• Share library content, exam materials, or candidate data outside your authorized workforce except as needed for legitimate hiring or examination operations
• Misrepresent AI-generated outputs as human-authored professional advice, legal advice, or guaranteed hiring outcomes

6. AI features and hiring decisions

SmartProHire may use machine learning and automated tools to generate assessments, interview prompts, scores, summaries, and insights. AI outputs can be incomplete, inaccurate, or biased. You remain solely responsible for:

• Reviewing AI-generated content before using it with candidates or stakeholders
• Making final hiring, promotion, certification, or examination decisions
• Complying with employment, education, examination, and anti-discrimination laws that apply to your use of automated tools

Unless expressly agreed in writing, SmartProHire does not guarantee that any candidate will be hired, that any assessment will predict job performance, or that AI features will meet a particular regulatory certification.

7. Proctoring and integrity features

Where enabled, proctoring and integrity features may collect signals such as webcam or screen activity, browser focus changes, face-count indicators, or similar telemetry, as configured by you and described in the Privacy Policy. You are responsible for informing candidates about monitoring before an attempt begins and for using integrity signals fairly and lawfully.

8. Intellectual property

• SmartProHire and its licensors own the Services, software, branding, documentation, and SmartProHire question libraries and templates (excluding Customer Content).
• We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or free-tier access, subject to these Terms and plan limits.
• Feedback you provide may be used by us to improve the Services without obligation to you.

9. Plans, trials, billing, and taxes

• Paid features are offered under the plan, usage limits, and pricing shown at checkout or in your Customer Agreement.
• Fees are generally non-refundable except where required by law or expressly stated for a particular offer.
• You authorize us and our payment partners to charge applicable fees, taxes, and recurring amounts for your selected plan.
• You are responsible for providing accurate billing details (including tax IDs such as GST where applicable) and for taxes not collected by us.
• Failure to pay may result in suspension or downgrade of paid features after reasonable notice where practicable.

10. Third-party services

The Services may integrate with or link to third-party tools (for example payment processors, analytics, email delivery, or candidate assessment portals). Third-party services are governed by their own terms. SmartProHire is not responsible for third-party sites or services we do not control.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only to perform under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, perfect proctoring detection, or that AI outputs will be accurate or fit for automated decision-making without human review.

13. Limitation of liability

To the maximum extent permitted by law, SmartProHire and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost hiring outcomes, or lost data, even if advised of the possibility.

Our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to SmartProHire for the Services in the twelve (12) months before the claim (or, if you use only a free tier, one hundred US dollars or local equivalent). These limits do not apply where prohibited by law.

14. Indemnification

You will defend and indemnify SmartProHire against claims arising from your Customer Content, your candidate invitations or assessment practices, your violation of these Terms, or your unlawful use of the Services, except to the extent caused by our willful misconduct.

15. Suspension and termination

You may stop using the Services at any time and may request account closure by contacting us. We may suspend or terminate access for material breach, non-payment, legal risk, or misuse. Upon termination, your right to access the Services ends, and we may delete or retain Customer Content as described in the Privacy Policy and any Customer Agreement.

16. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Noida / Gautam Buddha Nagar, Uttar Pradesh, India will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or security.

17. Changes

We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Material changes may be communicated through the website, product notices, or email. Continued use of the Services after an update becomes effective constitutes acceptance where permitted by law.
